Terms of Service

These Terms of Service ("Terms") govern your access to and use of the Vehicle Imagery API service ("Service") provided by Vehicle Imagery ("we," "us," or "our"). By accessing or using our Service, you agree to be bound by these Terms. If you do not agree to these Terms, you may not use the Service.

1. Acceptance of Terms

By creating an account, accessing, or using the Vehicle Imagery API, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.

2. Description of the Service

The Vehicle Imagery API provides access to a comprehensive database of high-quality vehicle images via a RESTful API. The Service includes:

• Access to the vehicle image database with multiple perspectives and angles.

• 360° rotating images and interior views

• Transparent PNG images and shadow effects

• Global CDN delivery for fast image loading

• API documentation and technical support

We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time, with or without notice.

3. Account Registration

To use the Service, you must create an account and provide accurate, current, and complete information. You are responsible for:

• Maintaining the confidentiality of your account credentials

• All activities that occur under your account

• Notifying us immediately of any unauthorized use of your account

• Ensuring that your account information is accurate and up-to-date

We reserve the right to suspend or terminate accounts that violate these Terms or engage in fraudulent, abusive, or illegal activities.

4. API Use and Restrictions

You may use the Vehicle Image API in accordance with your subscription plan and these Terms. You agree not to:

• Exceed the speed limits or usage quotas specified in your subscription plan.

• Attempt to reverse engineer, decompile, or disassemble the API.

• Use the API to create a competing service or product.

• Resell, redistribute, or sublicense access to the API without our written permission.

• Use automated systems to extract or download images in bulk beyond the limits of your plan.

• Use the Service in any way that violates applicable laws or regulations.

• Interfere with or disrupt the Service or servers connected to the Service

• Use the Service to transmit any malicious code, viruses, or harmful data.

5. Intellectual Property

The Vehicle Imagery API, including all software, documentation, and content, is protected by copyright, trademark, and other intellectual property laws. All rights, title, and interest in and to the Service belong to Vehicle Imagery and its licensors. Subject to your compliance with these Terms and your subscription plan, we grant you a limited, non-exclusive, non-transferable license to:

• Access and use the API to retrieve vehicle images for your authorized use cases.

• Display vehicle images in your applications, websites, or platforms as permitted by your subscription.

• Use the API documentation for integration purposes.

This license does not include the right to resell, redistribute, or create derivative works from the vehicle images or API beyond what is explicitly permitted in your subscription agreement.

6. Payment and Billing

Subscription fees are based on the plan selected and usage. You agree to:

• Pay all fees associated with your subscription in accordance with the pricing terms.

• Provide accurate billing information and keep it up to date.

• Authorize us to charge all fees through your payment method

• Understand that fees are non-refundable, unless required by law or explicitly stated in your subscription agreement.

We reserve the right to modify our prices with reasonable notice. Your continued use of the Service following a price change constitutes your acceptance of the new prices. If payment is not received or fails, we may suspend or terminate your access to the Service. You are responsible for any taxes applicable to your use of the Service.

7. Service Availability

We strive to maintain high availability of the Service, but we do not guarantee uninterrupted or error-free operation. The Service may be temporarily unavailable due to:

• Scheduled maintenance or updates

• Technical problems or system failures

• Force majeure events beyond our control

• Network or infrastructure issues

We will do our best to notify you of scheduled maintenance and minimize service interruptions. However, we are not responsible for any damages that may result from the unavailability of the Service.

8. Data and privacy

Your use of the Service is also governed by our Privacy Policy, which explains how we collect, use, and protect your information. By using the Service, you consent to the collection and use of your data as described in our Privacy Policy. We may collect and analyze usage data, API request patterns, and performance metrics to improve the Service, ensure security, and prevent abuse. We do not sell your personal information to third parties.

9. Limitation of Liability

TO THE EXTENT PERMITTED BY LAW, VEHICLE IMAGERY AND ITS AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING, BUT NOT LIMITED TO:

• Loss of profits, revenue, data, or business opportunities.

• Service interruptions or downtime.

• Errors or inaccuracies in vehicle images or data

• Security breaches or unauthorized access

OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATED TO THE SERVICE WILL NOT EXCEED THE AMOUNT YOU HAVE PAID US IN THE TWELVE (12) MONTHS PRIOR TO THE CLAIM. Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above limitations may not apply to you.

10. Indemnification

You agree to indemnify, defend, and hold harmless Vehicle Imagery, its officers, directors, employees, and agents from and against any and all claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising out of or relating to your use of the Service, your breach of these Terms, or your violation of any rights of another party.

11. Termination

Either party may terminate your access to the Service at any time:

• You may cancel your subscription at any time through your account settings.

• We may suspend or terminate your account immediately if you breach these Terms.

• We may terminate the Service with reasonable notice for business reasons.

Upon termination:

• Your right to access and use the Service will cease immediately.

• You must stop using the API and delete any vehicle images stored or cached.

• All outstanding fees will remain due and payable.

• Those sections of these Terms that, by their nature, should survive termination shall remain in effect.

12. Modifications to the Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by:

• Posting the updated Terms on our website.

• Sending an email notification to your registered email address

• Displaying a notice on the Service

Your continued use of the Service after the effective date of the modified Terms constitutes your acceptance of the changes. If you do not agree to the modified Terms, you must stop using the Service and cancel your subscription.

13. Applicable Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of Germany, without regard to its conflict of law provisions. Any dispute arising out of or relating to these Terms or the Service shall be resolved by:

• Negotiations in good faith between the parties

• If negotiations fail, by binding arbitration in accordance with German arbitration rules

• Or, if arbitration is not applicable, through the competent courts of Germany

14. General Provisions

Entire Agreement: These Terms, together with our Privacy Policy and any subscription agreement, constitute the entire agreement between you and Vehicle Imagery in relation to the Service. Severability: If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect. Waiver: Our failure to enforce any provision of these Terms shall not constitute a waiver of that provision or any other provision. Assignment: You may not assign or transfer these Terms or your account without our prior written consent. We may assign these Terms without restriction.
